1. Services Provided
The Service Provider agrees to design and develop a website (the "Website") for the Client in accordance with the detailed specifications outlined in the proposal provided to the Client. The scope of work includes but is not limited to website design, development, testing, and deployment.
2. Price, Timelines, and Terms
The total price for the project, payment terms, project timelines, and other relevant terms are as specified in the proposal previously received by the Client.
The Service Provider and the Client agrees to adhere to the payment schedule and project timelines as set forth in the attached proposal.
3. Client Responsibilities
The Client agrees to provide the Service Provider with all necessary materials, content, and information required to complete the Website. The Client also agrees to review deliverables within the timeframes set by the Service Provider and to promptly provide feedback and approvals.
4. Revisions and Alterations
New work requested by the Client and not included in the initial agreed-upon scope of work will be billed separately. All prices will be agreed upon before the commencement of any work outside the scope of the initial agreement.
5. Intellectual Property Rights
Upon receipt of full payment, the Client will own the final website design and all its incorporated elements. The Service Provider retains the right to use completed projects and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, and marketing materials.
6. Confidentiality
The Service Provider agrees to keep all confidential information that is obtained about the Client's business and its operations, its clients, personnel, and other information that may be disclosed during the course of the project confidential.
7. Cancellations & Refunds
Either party may cancel this agreement by providing a written notice within 48 hours from the time of signing. The Client may request a full refund within this 48-hour period. However, once work has commenced and the 48-hour period has elapsed, no refunds will be issued. While I guarantee your satisfaction and will do everything in my power to provide exceptional service and design, it is important to note that due to the nature of digital services and the time invested, refunds cannot be granted once the project has begun.
8. Legal and Binding Agreement
This agreement is legal and binding between the parties as stated above. The parties each represent that they have the authority to enter into this agreement.
9. Governing Law and Jurisdiction
The agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising under this agreement shall be resolved in the courts of the State of North Carolina.
